Job Summary:

The Deputy General Counsel, Gaming provides exceptional leadership, counsel and support to enable the gaming division of Scientific Games (“SG” or the “Company”) to optimize business outcomes in all legal, regulatory and commercial contexts. This attorney manages the Company’s legal affairs related to the Company’s largest division—its worldwide, land-based gaming business—including matters related to the sale or lease of gaming machines, table products, and casino systems; game development including development of advanced gaming technologies; manufacturing; and supply-chain management and procurement.
The Company’s global gaming division has technology centers in the U.S., Canada, South America, Europe and Asia, and accordingly, the Legal Department’s gaming group has responsibility for matters that include domestic and international customer contracts, vendor agreements, technology issues, regulatory compliance, software and other intellectual property licensing, business and product development, and government affairs.  The Deputy General Counsel, Gaming will work closely with the leaders of other Legal Department groups on matters that include intellectual property, licensing, M&A and corporate, human resources, and litigation.   This individual will also be a member of the gaming division’s senior leadership team, will engage in and support strategic planning, revenue forecasting, and contract administration and policy development, will facilitate intercompany legal project coordination and communications, and will provide legal support to the Company’s business development teams, which may involve intensive engagement in specific development initiatives.

Essential Job Responsibilities Include:

• Manage the Legal Department’s gaming group practice, including workflow management, contracting processes and procedures, training and professional development, and management of attorneys, paralegals and contract administrators
• Provide advice and counsel to senior management on legal risks and strategies in a variety of domestic and international gaming transactions, arrangements and relationships
• Ability to prioritize and efficiently handle multiple complex and challenging assignments and projects simultaneously, successfully driving them to conclusion, in a rapidly moving and changing business environment.
• Facilitate communication and information exchange of gaming division legal issues with Chief Legal Officer, other deputy general counsels and corporate compliance executives
• Interact and coordinate with Finance and Accounting departments to verify revenue recognition treatment of transactions across all gaming division product offerings
• Monitor, advise and proactively intervene in cooperation with Compliance and Government Affairs on developing regulatory and strategic matters
• Assume primary legal responsibility for all phases of gaming commercial transactions and alliances with gaming partners, including negotiating and closing transactions and relationship management
• Manage relationships with external counsel, regulatory authorities, and other legal professionals within the gaming industry
• Assume primary legal responsibility for gaming strategic planning sessions for business capture, product development and customer development
• Provide legal support for pre and post-M&A related issues, including due diligence and integration requirements

Job Requirements



Qualifications:

Training and/or Experience:

• Admitted to practice law and in good standing in at least one state
• 10-15 years’ experience in relevant areas, including commercial contracts, software licensing, technology, and regulated industries, preferably in a combination of law firm and in-house roles
• Experience managing and supervising a diverse international team to drive business results
• Five or more years of Gaming Industry legal experience strongly preferred

Knowledge, Skills and Abilities:

• Extensive experience transacting business in highly regulated environments
• Adaptability to successfully navigate rapidly changing business priorities
• Significant strategic and government relations skills and insights
• Good judgment and ability to act as a trusted legal and business advisor to executive team and gaming division senior leadership team
• Strong written and oral communication skills and interpersonal skills
• Ability to foster good business relationships (internally and externally)
• Strong ability to solve problems, execute, transfer knowledge and coordinate the completion of projects by senior and junior attorneys
• Commitment to excellent client service
• Strong organizational and analytical skills
• Ability to work effectively with all levels of management, manage multiple projects and meet deadlines with consistently high quality work product
• Will require weekend and evening hours as well as domestic and international travel

Education:

• Juris doctor degree from an accredited law school
